Terms of service
These terms govern your access to and use of the Veltio platform and services. We've written them in plain language so you understand exactly what you're agreeing to and what you can expect from us.
Acceptance of terms
By accessing or using the Veltio platform, website, applications, APIs, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features or services. These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Veltio Technologies, Inc. ("Nexus", "we", "our", or "us"), a Delaware corporation headquartered in San Francisco, California.
If you are accessing or using the Service on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms shall also refer to that entity. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service.
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by email or through an in-product notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account as described in Section 13.]
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you acknowledge that you have read, understood, and agree to our Privacy Policy.
Description of service
Veltio provides a business operations and intelligence software platform designed to help organisations automate workflows, manage projects, track revenue metrics, and coordinate team operations. The Service includes, without limitation, the Nexus web application, mobile applications, desktop applications, API, developer tools, documentation, and any software, features, or functionality we make available as part of the Service.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice to you. We will make commercially reasonable efforts to provide advance notice of any material changes to the core functionality of the Service. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.
The Service may include beta features, experimental functionality, or early access programmes. Such features are provided "as is" without warranty of any kind and may be modified or discontinued at any time. Your participation in beta programmes is voluntary and subject to any additional terms we may provide at the time of enrolment.
We continuously improve and evolve the Service. New features, enhancements, and updates may be added to the Service at any time. Material changes to existing features that may affect your use of the Service will be communicated through our standard notification channels.
Third-party services
Term: These Terms commence on the date you first access or use the Service and remain in effect until terminated as described in this Section.
Termination by you: You may terminate your account at any time by accessing your account settings and following the account closure process, or by contacting us at support@veltio.com. Termination of a paid subscription will take effect at the end of your current billing period, and you will continue to have access to the Service until that date. We do not provide refunds for the remaining portion of a billing period upon voluntary termination.
Termination by Nexus: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:
You breach any provision of these Terms and fail to cure the breach within 10 days of receiving written notice from us (or immediately if the breach cannot be cured).
We are required to do so by applicable law or at the direction of a government authority.
Your account has outstanding payment obligations that remain unpaid for more than 30 days after the due date.
We reasonably believe that your use of the Service poses a security risk or material harm to us, the Service, or other users.
We decide to discontinue the Service, in which case we will provide at least 90 days' advance notice.
Effect of termination: Upon termination of your account for any reason: (a) your right to access and use the Service will immediately cease; (b) you will have 30 days to export Your Content using the tools provided; (c) after 30 days, we will permanently delete Your Content from our systems in accordance with our data retention policy; and (d) all payment obligations that have accrued before termination shall survive.
Survival: The following Sections shall survive termination of these Terms: Section 6 (Your Content — with respect to the feedback licence), Section 7 (Intellectual Property), Section 9 (Confidentiality), Section 10 (Warranties — disclaimers), Section 11 (Limitation of Liability), Section 12 (Indemnification), Section 14 (Dispute Resolution), and Section 15 (General Provisions).
Dispute resolution
Informal resolution: Before filing any formal legal claim, you agree to first contact us at legal@veltio.com and attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days of receiving your notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as described below.
Binding arbitration: Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including questions about the existence, validity, interpretation, breach, or termination of these Terms, shall be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in English and shall take place in San Francisco, California, USA, unless the parties agree otherwise. The arbitrator's decision shall be final and binding.
Class action waiver: You agree that any arbitration or legal proceeding shall be conducted only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. You waive any right to bring or participate in class action lawsuits, class-wide arbitrations, or private attorney general actions against Veltio.
Exceptions: Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. Small claims court actions that qualify under applicable small claims court rules are also exempt from the arbitration requirement.
Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
EU and UK users: If you are located in the European Union or United Kingdom, mandatory local consumer protection laws may apply to your use of the Service, and nothing in these Terms is intended to waive rights you may have under those laws.
